1. Eligibility

The referral program is open to approved individuals and businesses. Company employees, contractors, competitors, and anyone prohibited by law or customer policy are not eligible. Self-referrals are not permitted. Referrals involving Company's existing customers, active prospects, or open opportunities are not eligible unless expressly approved in writing.

2. Qualifying Referrals

A referral is considered qualified only if: it is submitted through an authorized Company referral method (form, email, or referral link); the referred party is not already known to Company; the referral results in a bona fide, paid engagement; and all applicable program rules are followed. Company retains sole discretion to determine qualification.

3. Rewards & Payment

Reward type and amount will be specified in the referral program offer or promotion. Rewards are issued only after Company receives payment from the referred customer. Rewards are not paid for: informational inquiries only, disqualified leads, or violations of these Terms. Payment timing and method are determined by Company.

4. Prohibited Conduct

Referrers may not: send spam or unsolicited bulk messages; misrepresent Company, pricing, certifications, partnerships, or capabilities; impersonate customers or independent reviewers; influence procurement, RFPs, or purchasing decisions through improper means; or refer Company to their own employer without disclosure and authorization. Violations may result in immediate removal from the program.

5. Compliance with Laws

Referrers must comply with all applicable laws and regulations, including but not limited to: FTC advertising and endorsement rules, CAN-SPAM Act requirements for email communications, applicable anti-bribery, anti-kickback, and procurement integrity rules, and customer or employer referral policies.

6. Taxes

Referrers are responsible for all applicable taxes related to rewards. Company may issue required tax forms (e.g., IRS Form 1099-NEC) where applicable.

7. Privacy

Information submitted through the referral program is handled in accordance with Company's Privacy Policy. Referrers must obtain any required consent before submitting personal or business contact information.

8. Program Changes & Termination

Company reserves the right to: modify or suspend the referral program at any time; change reward structures; reject or revoke referrals; and terminate Referrers for violations or abuse.

9. No Employment or Agency Relationship

Participation in the referral program does not create an employment, partnership, agency, or joint-venture relationship.

10. Limitation of Liability

Company shall not be liable for any indirect, incidental, or consequential damages arising from participation in the referral program.

11. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-laws principles.
